Terms of Service

These Terms of Service ("Terms," "Legal Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and PenHuman ("PenHuman," "we," "us," or "our"), concerning your access to and use of our websites, applications, APIs, and any related products and services that link to or reference these Terms (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST STOP USING THEM IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated by reference. We reserve the right, in our sole discretion, to change or modify these Terms at any time. We will update the "Last Updated" date when changes are made. It is your responsibility to review these Terms regularly to stay informed of updates. Your continued use of the Services after revised Terms are posted constitutes your acceptance of those changes.

The Services are intended for users who are at least 18 years old or the age of majority in their jurisdiction, whichever is higher. If you are under the age of majority, you may only use the Services with the permission and direct supervision of a parent or legal guardian who agrees to be bound by these Terms.

We recommend that you print or save a copy of these Terms for your records.

The Services provide AI-powered tools for text generation, rewriting, "humanization" of AI-generated text, and detection/analysis of whether content may appear AI-generated, along with related features such as analytics, usage tracking, and account management.

The information and functionality provided through the Services are not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation, or would subject us to any registration requirement within such jurisdiction. If you choose to access the Services from other locations, you do so on your own initiative and are solely responsible for compliance with local laws.

The Services are not tailored to comply with industry-specific regulations (for example, HIPAA, FISMA, or other sector-specific regimes). If your use would be subject to such laws, you may not use the Services for that purpose.

You are solely responsible for how you use any content produced, transformed, or analyzed by PenHuman.

2.1 Our Intellectual Property

We (and our licensors, as applicable) own all legal rights, title, and interest in and to the Services, including:

• All source code, databases, functionality, software, designs, and user interfaces;
• All text, graphics, images, audio, video, and other content (collectively, the "Content"); and
• All names, logos, trademarks, service marks, and branding (collectively, the "Marks").

The Content and Marks are protected by copyright, trademark, and other intellectual property and unfair competition laws around the world. The Content and Marks are provided on an "AS IS" basis for your personal, non-commercial use or internal business use only, subject to these Terms.

2.2 Your License to Use the Services

Subject to your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Services; and
• Download or print a copy of portions of the Content to which you have lawful access, solely for your personal, non-commercial use or internal business purposes.

Except as expressly permitted in these Terms, you may not:

• Copy, reproduce, modify, adapt, translate, publish, display, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks for any commercial purpose without our prior written consent;
• Remove or alter any copyright, trademark, or other proprietary rights notices.

We reserve all rights not explicitly granted to you in and to the Services, Content, and Marks. Any breach of this Section 2 will be deemed a material breach of these Terms and may lead to immediate termination of your right to use the Services.

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete;
• You will maintain the accuracy of such information and promptly update it as needed;
• You have the legal capacity and authority to agree to and comply with these Terms;
• You are at least 18 years old or the age of majority in your jurisdiction;
• You will not access the Services through automated or non-human means (such as bots, scripts, or scrapers), except as explicitly permitted via documented APIs and in accordance with our policies;
• You will not use the Services for any illegal or unauthorized purpose; and
• Your use of the Services will not violate any applicable law or regulation.

If any information you provide is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.

You may be required to register for an account to access certain features of the Services. You agree to keep your password confidential and secure, and you are responsible for all activity that occurs under your account.

We reserve the right to remove, reclaim, or change a username we determine, in our sole discretion, to be inappropriate, obscene, or otherwise objectionable, and to limit, suspend, or terminate accounts that violate these Terms.

Account Sharing Prohibited.

Your account is for your individual use only. Sharing login credentials or account access with any other person (including friends, family members, classmates, colleagues, or clients) is strictly prohibited. Each individual user must maintain their own account and subscription. We may terminate or suspend accounts involved in account sharing without refund.

If you purchase any paid features or subscriptions through the Services, you agree to:

• Provide current, complete, and accurate purchase and account information;
• Promptly update payment information (including billing address, payment method, and card expiration date) so we can complete transactions; and
• Acknowledge that prices may change from time to time as determined by us.

You authorize us (and our third-party payment processors) to charge your chosen payment method for all applicable fees, taxes, and charges. We reserve the right to correct any pricing errors, even after a charge has been initiated or completed.

We may limit or refuse any order at our sole discretion, including where we suspect fraud, abuse, or orders placed by resellers or distributors. All amounts are due in the currency and at the rates indicated at the time of purchase. You are responsible for any applicable taxes, duties, or similar charges.

6.1 Subscriptions and Auto-Renewal

Some parts of the Services are billed on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly, yearly, or as otherwise specified), without requiring additional approval for each renewal. Your subscription will automatically renew at the end of each billing period unless you cancel prior to renewal.

6.2 Refunds

We may offer a limited refund policy for first-time subscriptions:

• Refunds, if offered, are only available for your first subscription payment with PenHuman and not for renewals or subsequent subscriptions;
• You must request the refund within three (3) days of your initial subscription purchase; and
• During this 3-day period, your total usage must not exceed 1,500 words (or an equivalent threshold communicated in the Services). If you exceed this limit, you will not be eligible for a refund.

Refunds are not automatic. To request a refund (where applicable), you must contact us at support@penhuman.com or through the support channels within the Services within the refund window. Except where required by law, all other charges are final and non-refundable.

6.3 Billing and Renewal

• Your subscription renews automatically at the end of each billing cycle unless you cancel;
• If you do not cancel before the renewal date, you authorize us to charge the subscription fee for the next billing cycle;
• Renewal charges are non-refundable except where required by law.

6.4 Cancellation

You can cancel your subscription at any time through your account settings (or an equivalent mechanism within the Services). When you cancel, your cancellation will take effect at the end of your current billing period, and you will retain access to paid features until the end of the current paid term. No prorated refunds are provided for partial billing periods unless required by law.

6.5 Fee Changes

We may change subscription fees from time to time. We will provide notice of price changes in accordance with applicable law and your continued use of the Services after such changes take effect constitutes your agreement to the new fees.

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Systematically retrieve data or other content from the Services to create a collection, database, or directory without our written permission;
• Circumvent, disable, or interfere with security features or measures that restrict use or copying of Content;
• Use the Services in a manner that could damage, disable, overburden, or impair the operation of the Services;
• Use any automated system (including bots, scrapers, spiders, or similar tools) to access the Services, except for APIs explicitly provided and documented by PenHuman;
• Upload or transmit viruses, malware, or any other malicious code;
• Attempt to gain unauthorized access to accounts, systems, or networks;
• Harass, abuse, intimidate, or threaten any other users or our personnel;
• Use the Services to violate any law, regulation, or rights of third parties (including intellectual property and privacy rights);
• Use the Services for any unlawful, deceptive, fraudulent, or harmful purpose;
• Use the Services as part of any effort to compete with us or replicate our Services; or
• Sell or otherwise transfer your account or profile.

Academic Misconduct and Cheating.

You must not use PenHuman to engage in academic dishonesty or cheating, including but not limited to submitting AI-generated or AI-humanized content as entirely your own original work where this is prohibited, or using the Services with the primary purpose of circumventing institutional AI detection systems or plagiarism policies. We reserve the right to suspend or terminate access for violations of this Section, without refund.

The Services may, now or in the future, allow users to submit or post content (for example, prompts, comments, or community posts) publicly or semi-publicly ("User Contributions").

We may, but are not obligated to, moderate or review User Contributions. You are solely responsible for your User Contributions and for any consequences arising from them.

You agree not to submit any User Contributions that are illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, or otherwise objectionable, or that violate any rights of third parties.

9.1 Submissions and Feedback

If you send us any questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), you agree that we may use, reproduce, disclose, and exploit such Submissions without restriction and without compensation to you, and you assign to us all rights, title, and interest in any intellectual property in such Submissions to the extent allowed by law.

You represent and warrant that you have all necessary rights to your Submissions and that your Submissions do not infringe any third-party rights or contain confidential information of others. You remain responsible for any Submissions you provide.

The Services may contain links to third-party websites, content, or services ("Third-Party Content"). We do not control and are not responsible for the content, accuracy, legality, or practices of any Third-Party Content or websites, or for any products or services offered by third parties.

Accessing Third-Party Content is at your own risk. You should review the applicable terms and privacy policies of any third-party sites or services you use.

We do not endorse any Third-Party Content solely by linking to it or allowing its use in the Services.

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Terms;
• Take appropriate legal action against anyone who violates these Terms or applicable law;
• Refuse, restrict, or terminate access to the Services for any user at any time, at our discretion;
• Remove or disable any content that we deem excessive, harmful, or in violation of these Terms; and
• Manage the Services in a manner designed to protect our rights, property, and the proper functioning of the Services.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms by reference.

These Terms remain in full force and effect while you use the Services. We may, in our sole discretion and without prior notice or liability, suspend or terminate your access to the Services (including blocking certain IP addresses and deleting your account) for any reason or no reason, including but not limited to breach of these Terms, violation of applicable law, or suspected fraud, abuse, or misuse.

If your account is terminated, you are prohibited from registering a new account under your name or any other name, and we may take legal action where appropriate.

Chargebacks and Payment Disputes.

By using the Services, you agree that if you initiate a chargeback or payment dispute with your financial institution, we may immediately terminate your account and revoke access to the Services. Once an account is terminated due to a chargeback or dispute, it may not be reinstated, and you may be prohibited from creating new accounts. Any remaining access, credits, or benefits associated with your account may be permanently forfeited without refund. If a chargeback is found to be fraudulent or in bad faith, we may pursue legal action to recover damages, processing fees, and associated costs.

We reserve the right to change, modify, or remove any content or feature of the Services at any time, for any reason, and to discontinue all or part of the Services temporarily or permanently, with or without notice. We are not liable for any modification, price change, suspension, or discontinuance of the Services, or for any resulting loss or inconvenience.

We cannot guarantee continuous, uninterrupted availability of the Services. Downtime may occur due to maintenance, upgrades, network failures, or events beyond our control.

These Terms and your use of the Services are governed by and construed in accordance with the laws of the jurisdiction in which PenHuman is primarily operated, without regard to conflict-of-law principles. The choice of law does not affect your rights under mandatory consumer protection laws in your place of residence, where applicable.

Before initiating formal legal action, you agree to try to resolve any dispute or claim relating to these Terms or the Services ("Dispute") through good-faith informal negotiations with us for at least thirty (30) days after providing written notice of the Dispute.

Where permitted by law, any Dispute that cannot be resolved informally may be submitted to binding arbitration or to the competent courts in the applicable jurisdiction, as determined by the governing law and mandatory local rules. Class actions and representative proceedings may be limited or waived to the extent permitted by law.

Nothing in this Section limits either party's right to seek injunctive or other equitable relief to prevent or stop misuse of the Services or infringement of intellectual property rights.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other details. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any content or outputs will be accurate, reliable, complete, or suitable for any particular purpose.

AI Humanization & Detection Specific Disclaimer.

PenHuman's AI humanization and detection features are designed to:

• Produce text that closely resembles natural, human-like writing; and
• Analyze or estimate whether content may appear AI-generated.

However, no humanizer or detector is 100% accurate. AI models can produce false positives and false negatives, and outputs may still be flagged by detection tools or appear AI-like. AI detection tools and institutional policies are constantly evolving. We do not guarantee that content generated, rewritten, or humanized by PenHuman will avoid detection by any AI detection system, plagiarism checker, or institutional review process. Outputs may contain errors, omissions, bias, or outdated information, even when they appear confident or stylistically human-like.

You are solely responsible for reviewing and editing all output, ensuring compliance with applicable laws and policies, and deciding whether and how to submit or present content to third parties. We are not responsible for academic, professional, legal, or financial consequences arising from your use of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD party FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) A MODEST FIXED AMOUNT AS PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSIONS OF CERTAIN DAMAGES, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless PenHuman and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Services or content generated, rewritten, or analyzed using the Services;
• Your breach of these Terms or any applicable law;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any content or Submissions you provide; or
• Any harmful act toward another user with whom you connected via the Services.

We reserve the right to assume exclusive defense and control of any matter for which you are required to indemnify us, at your expense, and you agree to cooperate with our defense.

We may maintain certain data that you transmit to the Services, as well as data related to your use of the Services, for operational, security, and analytic purposes.

While we take reasonable steps to protect and back up data, you are solely responsible for keeping your own backups of any content or data you value, and for the consequences of any loss or corruption of data. We have no liability to you for any loss or corruption of such data.

By using the Services, you consent to receive communications from us electronically (such as messages, notices, disclosures, and other information) through the Services or via email.

You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, and that electronic signatures, contracts, orders, and other records, and electronic delivery of notices, policies, and transaction records, shall have the same legal effect as physical documents and handwritten signatures, to the extent permitted by law.

These Terms and any policies or rules posted on the Services constitute the entire agreement between you and PenHuman with respect to the Services. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or your use of the Services. You agree that these Terms will not be construed against us merely because we drafted them.

If PenHuman offers an affiliate, partner, or referral program and you participate, you must comply with any separate affiliate or partner terms that apply in addition to these Terms. Such terms may include rules on advertising, commission eligibility, brand usage, restricted channels, and compliance obligations.

If there is a conflict between these Terms and separate affiliate terms, those specific affiliate terms will govern your participation in the affiliate program.

PenHuman is designed to enhance AI-generated and human-written content in a more natural, readable, and human-like way and to provide transparency regarding AI usage. We expect all users to use the Services responsibly and ethically.

PenHuman does not support the use of its tools to cheat, commit plagiarism, or violate academic or institutional policies. You must not rely on PenHuman to bypass AI detection systems where those systems are intended to prevent academic or professional misconduct, and you remain fully responsible for ensuring that your use is permitted under your school, university, employer, or institution's rules.

We are committed to supporting ethical use of AI tools and may take actions, including account restrictions or termination, to address clear misuse.
